THIS IS AN AMENDED AND RESTATED INDENTURE (“Indenture”), among Collegiate Funding Services Resources I, LLC, a Delaware limited liability company (“Issuer”), CRC Funding, LLC, CAFCO, LLC, Falcon Asset Securitization Corporation and Jupiter Securitization Corporation (each a “Conduit Lender” and collectively, the “Conduit Lenders”), the financial institutions from time to time party hereto (each, a “Committed Lender” and together with the Conduit Lenders, the “Lenders”), Citicorp North America, Inc.
