THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of this 14th day of May, 2010 (the “Effective Date”), by and between Tariff Building Associates, L.P., a California limited partnership (“Seller”), and Jayhawk Owner LLC, a Delaware limited liability company (“Purchaser”). (Seller and Purchaser are sometimes referred to herein individually as a “Party”, and collectively as the “Parties”).
