This Fifty-First Amended and Restated Expense Limitation Agreement (the “Agreement”), effective as of April 1, 2025, amends and restates that certain Fiftieth Amended and Restated Expense Limitation Agreement effective as of January 23, 2025, by and between Virtus Opportunities Trust, a Delaware statutory trust (the “Registrant”), on behalf of each series of the Registrant listed in Appendix A (each a “Fund” and collectively, the “Funds”) and the Adviser of each of the Funds, Virtus Investment Advisers, LLC, a Delaware limited liability company (formerly, Virtus Investment Advisers, Inc., a Massachusetts corporation) (the “Adviser”).

This Fourth Amended and Restated Expense Limitation Agreement (the “Agreement”), effective as of September 24, 2025, amends and restates that certain Third Amended and Restated Expense Limitation Agreement effective as of January 1, 2025 by and between Virtus Opportunities Trust, a Delaware statutory trust (the “Registrant”), on behalf of each series of the Registrant listed in Appendix A (each a “Fund” and collectively, the “Funds”) and the Adviser of each of the Funds, Virtus Investment Advisers, LLC, a Delaware limited liability company (the “Adviser”), as successor in interest to Virtus Alternative Investment Advisers, LLC, a Delaware limited liability company (formerly, Virtus Alternative Investment Advisers, Inc., a Connecticut Corporation).
