This grant agreement (this “Agreement”) is made effective on April 1, 2020, (the “Effective Date”) between the University of Wisconsin Eau-Claire Foundation, a Wisconsin nonprofit corporation (the “Foundation”), the Board of Regents of the University of Wisconsin System operating as the University of Wisconsin Eau-Claire (the “University”), an instrumentality of the state of Wisconsin, and the Charles Koch Foundation, a Kansas nonprofit corporation (the “Donor”). This Agreement is for the benefit of the Center for Constitutional Studies (the “Center”), which is housed in the College of Arts and Sciences (the “College”) at the University. The Foundation, the University, and the Donor are sometimes referred to in this Agreement individually as a “Party” and collectively as the “Parties.” The Parties agree as follows:
