Apple Inc., a California corporation (the “Company”), proposes, subject to the terms and conditions stated in this agreement (this “Agreement”), to issue and sell to the Underwriters named in Schedule I hereto (the “Underwriters”) $1,500,000,000 aggregate principal amount of the Company’s 4.000% Notes due 2028 (the “2028 Notes”), $1,000,000,000 aggregate principal amount of the Company’s 4.200% Notes due 2030 (the “2030 Notes”), $1,000,000,000 aggregate principal amount of the Company’s 4.500% Notes due 2032 (the “2032 Notes”) and $1,000,000,000 aggregate principal amount of the Company’s 4.750% Notes due 2035 (the “2035 Notes” and together with the 2028 Notes, the 2030 Notes and the 2032 Notes, the “Securities”).

Apple Inc., a California corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the Underwriters named in Schedule I hereto (the “Underwriters”) $350,000,000 aggregate principal amount of the Company’s Floating Rate Notes due 2019 (the “2019 Floating Rate Notes”), $1,150,000,000 aggregate principal amount of the Company’s 1.100% Notes due 2019 (the “2019 Fixed Rate Notes”), $1,250,000,000 aggregate principal amount of the Company’s 1.550% Notes due 2021 (the “2021 Fixed Rate Notes”), $2,250,000,000 aggregate principal amount of the Company’s 2.450% Notes due 2026 (the “2026 Fixed Rate Notes”), $2,000,000,000 aggregate principal amount of the Company’s 3.850% Notes due 2046 (the “2046 Fixed Rate Notes,” and together with the 2019 Floating Rate Notes, the 2019 Fixed Rate Notes, the 2021 Fixed Rate Notes, and the 2026 Fixed Rate Notes, the “Securities”).
