THIS AGREEMENT entered into this day of , 2006, by and between MTC Consolidated, LLC, a California limited liability company, hereinafter referred to as “Developer”, and Wal-Mart Real Estate Business Trust, a Delaware statutory trust, hereinafter referred to as “Wal-Mart” (the “Agreement”).
