made and entered into this [ ] day of February, 2015 (the “Effective Date”), by and among Louisiana Children’s Medical Center, a Louisiana nonprofit corporation (“LCMC”), West Jefferson Holdings, LLC, a Louisiana limited liability company, of which LCMC is the sole member (“Newco”), and Jefferson Parish Hospital District No. 1, Parish of Jefferson, State of Louisiana, d/b/a West Jefferson Medical Center (the “District”). LCMC, Newco and the District are collectively referred to herein as the “Parties,” and each, as a “Party.” Children’s Hospital, a Louisiana nonprofit corporation (“Children’s”), is entering into this Agreement solely for purposes of its obligations under Sections 5.3 and 12.3(c). Capitalized terms not otherwise defined herein shall have the meanings set forth on Schedule 1.
