This Amended and Restated Employment Agreement (“Agreement”) is made and entered into by and between Charah, LLC, a Kentucky limited liability company (the “Company”), and Scott Sewell (“Employee”) effective as of June 10, 2019 (the “Effective Date”) and amends and replaces that certain Employment Agreement between Employee and the Company dated January 13, 2017, as amended on each of June 1, 2018 and January 23, 2019 (the “Prior Agreement”). Charah Solutions, Inc., a Delaware corporation and parent of the Company (the “Parent”), enters into this Agreement for the limited purposes of acknowledging and agreeing to Section 3(c).
