This AGREEMENT ACKNOWLEDGING CREDIT AGREEMENT (this “Agreement”), dated as of April 15, 2010, is by and between CF Industries Holdings, Inc., a Delaware corporation (“Holdings”), CF Industries, Inc., a Delaware corporation (the “Borrower”), Morgan Stanley Senior Funding, Inc. (“MSSF”), and The Bank of Tokyo-Mitsubishi UFJ, Ltd. Capitalized terms used herein without definition are used as defined in that certain Credit Agreement, dated as of April 5, 2010, by and between Holdings, the Borrower, MSSF, as Administrative Agent and the Lenders party thereto from time to time (the “Credit Agreement”), which is attached hereto as Exhibit A.
