THIS SHAREHOLDERS AGREEMENT is made as of January 29, 2020 and Les Boissons Toro inc., a corporation incorporated under the laws of the Province of Quebec (the “Corporation”); each holder of Class A Shares of the Corporation listed in Schedule A-1 annexed hereto, as amended from time to time in accordance with the provisions hereof (the “Class A Holders”); each holder of Class Seed Preferred Shares (as defined below) of the Corporation listed on Schedule A-2 annexed hereto, as amended from time to time in accordance with the provisions hereof (the “Preferred Holders”); and any person who becomes a party hereto by executing an acknowledgement in the form annexed hereto as Schedule B or in such other form as may be agreed by the Corporation.
