THIS AGREEMENT is made and entered into as of the 25th day of February, 2010, by and between Capstone Investment Financial Group, Inc. (the “Adviser”), a corporation registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Dunn Warren Investment Advisors, LLC, a limited liability company organized under the laws of Colorado (the “Subadviser”) and also registered under the Advisers Act, with respect to CIFG All Weather Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
