ASSET SALE AGREEMENT, dated as of July 11, 2006, (the “Agreement”) by and among Consumers Energy Company, a Michigan corporation (“Seller” or “Consumers”), and Entergy Nuclear Palisades, LLC, a Delaware limited liability company (“Buyer”).
