THIS SHAREHOLDER SERVICES AGREEMENT is made and entered into as of April 28, 1998 by and between NATIONAL LIFE INSURANCE COMPANY (the "Company"), and AMERICAN CENTURY INVESTMENT MANAGEMENT, INC.
