by and among the Medicines Patent Pool, a non-profit foundation registered under the laws of Switzerland, and having a principal place of business at rue de Varembé 7, Geneva 1202, Switzerland (MPP), and Zhejiang Charioteer Pharmaceutical Co., Ltd. a company registered under the laws of China, and having as principal place of business at Dazhan, Tongyuanxi, Xianju, Zhejiang province, China, 317321 (Licensee). Each of MPP and Licensee is referred to in this Agreement individually as a Party and collectively as the Parties.
