This Asset Purchase Agreement (this “Agreement”), dated as of July 7, 2025 (the “Effective Date”), is entered into by and among Quadvest Wholesale, LLC, a Texas limited liability company (the “Seller”), Quadvest, L.P., a Texas limited partnership (“Seller Guarantor” and together with Seller, the “Seller Parties”), Texas Water Operation Services, LLC, a Texas limited liability company (the “Purchaser”), SJWTX, Inc., a Texas Corporation (the “Purchaser Guarantor” and together with Purchaser, the “Purchaser Parties”), and H2O America, a Delaware corporation (the “Guarantor”). Each of the foregoing is referred to herein as a “Party” and collectively as the “Parties.” In addition to the terms defined in the body of this Agreement, capitalized terms used herein have the meanings set forth in Annex A attached hereto and made a part hereof.
