Nabors Industries Ltd., a Bermuda exempted company (the “Company”), proposes, upon the terms and conditions set forth in this agreement (the “Agreement”), to issue and sell to the several underwriters named in Schedule A hereto (the “Underwriters”) 5,000,000 of its 6.00% series A mandatory convertible preferred shares, par value $0.001 per share (the “Firm Shares”). The Company also proposes to issue and sell to the several Underwriters not more than 750,000 additional 6.00% series A mandatory convertible preferred shares, par value $0.001 per share (the “Additional Shares”), if and to the extent that you, as Representative of the Underwriters, shall have determined to exercise on behalf of the Underwriters, the right to purchase such Additional Shares, solely to cover over-allotments, granted to the Underwriters in Section 2 hereof.
