THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made as of June 9, 2011 (the “Execution Date”) among SM ENERGY COMPANY, a Delaware corporation (“SM”), STATOIL TEXAS ONSHORE PROPERTIES LLC, a Delaware limited liability company (“Statoil”) and TALISMAN ENERGY USA INC., a Delaware corporation (“Talisman”, together with Statoil collectively, the “Buyers”, and each individually, a “Buyer”).
