This Amended and Restated Subscription Agreement (this “Agreement”), dated as of December 20, 2013, is entered into by and among AIREON LLC, a Delaware limited liability company (the “Company”), and NAV CANADA Satellite, Inc., a Delaware corporation and a wholly owned subsidiary of NAV CANADA (the “Investor”), and amends and restates the Subscription Agreement between the Investor and the Company dated as of November 19, 2012 (the “Original Subscription Agreement”), in connection with the Investor’s purchase of Preferred Interests in the Company (“Interests”) and entry into the Company’s Second Amended and Restated Limited Liability Company Agreement, in substantially the form set forth as Exhibit A attached hereto (the “Operating Agreement”), which shall be entered into on or before February 14, 2014 and shall amend and restate that certain Amended and Restated Limited Liability Company Agreement, dated as of November 19, 2012, as amended by Amendment No. 1 dated as of June 27, 2013 (
