The Securities are to be issued under an indenture (the “Indenture”), to be dated as of July 3, 2008, among the Company, the subsidiary guarantors party thereto (the “Subsidiary Guarantors”) and The Bank of New York Trust Company, N.A., as trustee (the “Trustee”).
