It will become effective on the date that both you and the Company have executed this Agreement (the "Effective Date"). As of the Effective Date, this Agreement shall supersede and replace, in its entirety, any prior agreement by and between you and Turning Point and any of its subsidiaries, including the employment agreement dated as of February 25, 2021 (the "Prior Agreement"), and you shall no longer have any rights or benefits thereunder.
