This Advisor Agreement (“Agreement”) is made and entered into as of October 1, 2023 (the “Effective Date”) by and between Yext, Inc., a Delaware corporation (the “Yext” or the “Company”), and the individual named on the signature page of this Agreement (“Advisor”). Yext desires to retain Advisor as an independent contractor to serve as an advisor to perform certain advisory services for Yext, and Advisor is willing to perform such services, on terms set forth more fully below. Nothing contained in this Agreement shall be deemed to amend or modify any term or condition contained in the Employee Covenants Agreement and Alternative Dispute Resolution Agreement signed by Advisor on September 22, 2015. Capitalized terms used but not defined herein shall have the respective meanings set forth in the as detailed in the Separation and Release Agreement between Advisor and Yext, dated September 17, 2023 (the “Separation Agreement”). Yext desires to retain Advisor as an independent contractor to serve as an advisor to perform certain advisory services for Yext and to serve on Yext’s advisory board (the “Advisory Board”), and Advisor is willing to perform such services, on terms set forth more fully below.
