Except as otherwise defined herein, capitalized terms used in this Agreement shall have the meaning ascribed to them in the Asset Purchase Agreement, dated June 28, 2019 (the “Purchase Agreement”) by and among, the Assignors, the Assignee and certain other parties named therein.
