The undersigned, Raymond James & Associates, Inc. (the “Representative”), acting on its own behalf and on behalf of the other underwriters listed on Schedule I hereto (collectively, the “Underwriters”), and not acting as a fiduciary or agent for Fort Bend County, Texas (the “Issuer”), offers to enter into this Bond Purchase Agreement (this “Agreement”) with the Issuer with respect to its $[45,000,000] Fort Bend County, Texas Senior Lien Toll Road Revenue Bonds, Series 2014 (the “Bonds”), which, upon acceptance of this offer by the Issuer, shall be binding upon the Issuer and upon the Underwriters. This offer is made subject to the Issuer’s written acceptance hereof on or before 10:00 p.m., Central Time, on the date set out above, and, if not so accepted, will be subject to withdrawal by the Underwriters upon written notice delivered to the Issuer at any time prior to the acceptance hereof by the Issuer.
