AMENDMENT NO. 6
TO THE
AMENDED AND RESTATED MASTER DISTRIBUTION AGREEMENT
This Amendment, dated as of March 31, 2021, amends the Amended and Restated Master Distribution Agreement (the “Agreement”), dated July 1, 2020, by and between each Delaware statutory trust set forth on Schedule A to the Agreement (each, a “Trust”), on behalf of itself and its series portfolios, severally, and Invesco Distributors, Inc., a Delaware corporation (the “Distributor”).
WHEREAS, the parties agree to amend the Agreement to remove Invesco Premier Tax-Exempt Portfolio, a series portfolio of AIM Treasurer’s Series Trust (Invesco Treasurer’s Series Trust) and Invesco Master Event-Linked Bond Fund, a series portfolio of AIM Growth Series (Invesco Growth Series), effective March 31, 2021, remove Invesco Senior Floating Rate Plus Fund, a series portfolio of AIM Counselor Series Trust (Invesco Counselor Series Trust), remove Invesco Endeavor Fund, Invesco Pacific Growth Fund, Invesco Select Companies Fund, series portfolios of AIM Investment Funds (Invesco Investment Funds), effective April 23, 2021, change the name of Invesco Peak Retirement™ Now Fund to Invesco Peak Retirement™ Destination Fund and to add Invesco Peak Retirement™ 2010 Fund, effective April 28, 2021, series portfolios of AIM Growth Series (Invesco Growth Series), change the name of Invesco Oppenheimer V.I. Capital Appreciation Fund to Invesco V.I. Capital Appreciation Fund, Invesco Oppenheimer V.I. Conservative Balanced Fund to Invesco V.I. Conservative Balanced Fund, Invesco Oppenheimer V.I. Discovery Mid Cap Growth Fund to Invesco V.I. Discovery Mid Cap Growth Fund, Invesco Oppenheimer V.I. Global Fund to Invesco V.I. Global Fund, Invesco Oppenheimer V.I. Global Strategic Income Fund to Invesco V.I. Global Strategic Income Fund, Invesco Oppenheimer V.I. Main Street Fund to Invesco V.I. Main Street Fund, Invesco Oppenheimer V.I Main Street Small Cap Fund to Invesco V.I. Main Street Small Cap Fund, Invesco Oppenheimer V.I. Government Money Fund to Invesco V.I. U.S. Government Money Portfolio, Invesco Oppenheimer V.I. Total Return Bond Fund to Invesco V.I. Core Bond Fund Invesco V.I. Mid Cap Core Equity Fund to Invesco V.I. Main Street Mid Cap Fund and to remove Invesco V.I. Managed Volatility Fund and Invesco V.I. Value Opportunities Fundseries portfolios of AIM Variable Insurance Funds (Invesco Variable Insurance Funds), effective April 30, 2021;
NOW THEREFORE, Schedule A of the Agreement is hereby deleted in its entirety and replaced with the following:
