THIS (as it may from time to time be amended and including all exhibits referenced herein, this “Agreement”) is entered into by and among PMV Acquisition Corp.., a Delaware corporation (the “Company”), CIBL, Inc. (the “Purchaser”) and Graubard Miller, as escrow agent (“Escrow Agent”).

The Company intends to consummate a public offering of the Company’s units (the “Public Offering”), each unit consisting of one share of the Company’s common stock, par value $0.0001 per share (a “Share”), and one warrant to purchase one half of one Share at an exercise price of $5.75 per half Share. (ii)      Simultaneously with the consummation of the Public Offering (the “Closing Date”), the Company shall issue and sell to the Purchaser, and the Purchaser shall purchase from the Company, 7,000,000 Private Placement Warrants.
