HOUSTON, Texas, October 6, 2004 — Kaiser Aluminum said today that the company and its Debtor subsidiaries and the Unsecured Creditors Committee (UCC) have executed an Intercompany Settlement Agreement (ISA). The ISA will be the subject of a motion to be filed shortly with the U.S. Bankruptcy Court for the District of Delaware seeking its approval.

This Release (“Agreement”) is made and entered into this ___ day of March, 2006, by and between Kerry A. Shiba, his heirs, executors/administrators, successors, and assigns (collectively “Shiba”) and the Kaiser Aluminum & Chemical Corporation, its successors, assigns, officers, directors, shareholders, members, employees, agents, and counsel (collectively “Kaiser”). The effective date of this Agreement shall be seven (7) calendar days after March ___, 2006, provided that Shiba has not exercised his right to revoke the Agreement pursuant to paragraph 13(d) below.

On behalf of the Boards of Directors (the “Boards”) of Kaiser Aluminum Corporation and Kaiser Aluminum & Chemical Corporation this letter confirms the extension of the term of your Non-Executive Chairman of the Boards Agreement dated January 7, 2005 (as amended, the “Agreement”) through the earlier of (i) June 30, 2006 and (ii) the effective date of the plan of reorganization filed by the companies as such plan may be amended or modified. As a result of the extension, any references to March 31, 2006 in the Agreement will be deemed to be amended to refer to June 30, 2006. Except as noted in this letter, all other terms of the Agreement shall continue in full force and effect.
