This Plan sets out the terms on which Shares may be provided to certain employees of the Company and its subsidiaries. Employees selected for participation in the Plan will be granted Restricted Share Units which gives them a conditional entitlement to receive Shares. The extent to which Shares are released in respect of Restricted Share Units is subject to continued employment and the satisfaction of conditions over a performance period.

Bp Plc – RULES OF THE BP P.L.C. ANNUAL CASH BONUS DEFERRAL PLAN (March 21st, 2016)

These rules set out the terms on which participants may, by electing to participate in the BP p.l.c. Annual Cash Bonus Deferral Plan, acquire and hold shares (Deferral Awards) in the Company until the release date. To the extent that participants acquire and hold Deferral Awards the Company shall grant matching restricted stock unit awards (Matching RSU Awards), which give them a conditional entitlement to receive further shares. Subject to participants' continued employment and any other conditions, the Matching RSU Awards shall vest at the same time restrictions on the Deferral Awards are released.

This Administrative Agreement (“Agreement”) is made between the United States Environmental Protection Agency (“EPA”), acting as lead federal agency, and: BP p.l.c.; BP America, Inc. This Plan sets out the terms on which shares may be provided to certain employees of the Company and its subsidiaries. Employees selected for participation in the Plan will be granted restricted share units giving them a conditional entitlement to receive shares. The number of restricted share units granted will be calculated as a percentage of the cash bonus they are awarded under the Company’s annual cash bonus plan. The conversion of those units into shares and subsequent release of those shares is subject to continued employment during the restricted period.

This plan sets out the terms on which awards of shares may be made to certain employees of the Company and its Subsidiaries. Employees selected for participation in the Plan will be granted restricted share units giving them a conditional entitlement to an award of shares. The number of restricted share units granted will be calculated as a percentage of the cash bonus they receive under the Company’s annual cash bonus plan. The award of shares is subject to continued employment during the holding period. This Plan was amended with effect from 16 March 2007. Grants and Awards made prior to this date are governed by the rules of the BP Deferred Annual Bonus Plan 2005 as adopted on 28 July 2005. Subsequent amendments were made to this Plan on 7 May 2008.

This plan sets out the terms on which awards of shares will be made to certain employees of the Company and its Subsidiaries. Employees selected for participation in the Plan will be granted restricted share units giving them a conditional entitlement to an award of shares. The number of shares to be granted in respect of a restricted share unit may depend on the extent to which a Condition is satisfied over the Financial Year prior to grant.
