This Subscription Agreement (the “Subscription Agreement”) is made as of the date set forth below by and between the undersigned (the “Subscriber”) and Fine Mulligans, Inc., a Delaware corporation (the “Company”) and is intended to set forth certain representations, covenants and agreements between Subscriber and the Company with respect to the offering (the “Offering”) for sale by the Company of the Class A Preferred Shares as described in the Company’s offering circular (the “Offering Circular”), a copy of which has been delivered to Subscriber. The Class A Preferred Shares are also referred to herein as the “Securities.”
