THIS INVESTMENT INVOLVES A HIGH DEGREE OF RISK. THIS INVESTMENT IS SUITABLE ONLY FOR PERSONS WHO CAN BEAR THE ECONOMIC RISK FOR AN INDEFINITE PERIOD OF TIME AND WHO CAN AFFORD TO LOSE THEIR ENTIRE INVESTMENT. FURTHERMORE, INVESTORS MUST UNDERSTAND THAT SUCH INVESTMENT IS ILLIQUID AND IS EXPECTED TO CONTINUE TO BE ILLIQUID FOR AN INDEFINITE PERIOD OF TIME. NO PUBLIC MARKET EXISTS FOR THE SECURITIES, AND NO PUBLIC MARKET IS EXPECTED TO DEVELOP FOLLOWING THIS OFFERING.

This Limited Partnership Agreement (the “Agreement”) is made and entered into as of the 1st day of September, 2022 by and among Wealthcasa Capital GP, LLC, a Delaware limited liability company, as the general partner (the “General Partner”), and each of the Persons the names of which are set forth under the heading “Limited Partners” on the Schedule of Partners, as maintained in the books of the Partnership by the General Partner, as a limited partner (each a “Limited Partner” and collectively the “Limited Partners”), which parties hereby continue Wealthcasa Capital Fund, LP, a Delaware limited partnership (the “Partnership”), pursuant to the Delaware Revised Uniform Limited Partnership Act, 6 Del. C. § 17-101, et seq., as in effect as of the Certificate Filing Date, and as thereafter amended from time to time, or any successor statute (the “Act”), as follows.
