Granite Real Estate Investment Trust, a real estate investment trust formed under the laws of the Province of Ontario (the “REIT”), and Granite REIT Inc., a corporation incorporated under the laws of the Province of British Columbia (“Granite GP”), confirm their agreement (this “Agreement”) with, BMO Nesbitt Burns Inc., Scotia Capital Inc. and TD Securities Inc. (collectively, the “Agents”) to issue and sell trust units of the REIT (“REIT Units”) and common shares in the capital of Granite GP (“GP Shares”), which shall be issued and traded as stapled units (the “Units”) with each Unit consisting of one REIT Unit and one GP Share, upon and subject to the terms and conditions contained herein.
