This employment agreement (this “Agreement”) dated as of 1st of February, 2011 (“Effective Date”), is made by and between China Sunflower Group Limited, a British Virgin Islands corporation (the “Company”) and Xinmin Liu a _Chinese _ resident (the “Executive”) (collectively, the “Parties”).

Upon mutual understanding, the parties enter into this agreement with honest and good faith in accordance with related laws of the People's Republic of China, where Party A, the owner with both the ownership and operation right of the “Westerner” brand, the manufacturer of the sunflower oil with the sales right, hereby authorizes Party B the distribution right of the registered brand of “Westerner” sunflower oil products as the exclusive distribution agent.

It was approved by board of directors on 1st November, 2010 that the original shareholder- Gansu JOY Agricultural Technology Company will transfer the shares it holds of Gansu JOY Import & Export Trading Company which is worth 20,000 RMB to Fu Denian. Fu Denian agreed to purchase the mentioned shares at 20,000 RMB and exercise the corresponding responsibilities and obligations.
