Technologies, Inc., also known as China Liaoning Dingxu Ecological Agriculture Development, Inc., a publicly traded corporation incorporated in Nevada (OTCBB: CLAD) (the “PUBCO”), and the majority shareholders of PUBCO listed on Signature Page for PUBCO Stockholders that is attached hereto (the “PUBCO Stockholders”), on the other hand. DingXu BVI is a party to this agreement solely to make representations and warranties as set forth herein.
