On April 11st 2008, Anji Meibodeng Ciji Real Estate Corp. and Niusule Biotech Corp. (America) signed the Joint Ventur Contract , decided to jointly invest to set up a joint venture Zhejiang Baitai Bioengineering Corp. It is agreed upon by both parties to amend the contract as below:

In accordance with the “Law of the People’s Republic of China on Joint Ventures Using Chinese and Foreign Investment” and other relevant Chinese laws and regulations, ANJI MEIBODENG CIJI REAL ESTATE CORP and NIUSULE BIOTECH CORP.(AMERICA) adhering to the principle of equality and mutual benefit and through friendly consultations, agree to jointly invest to set up a joint venture in Anji, Zhejiang Province of the People’s Republic of China and enter into the contract hereunder.

This contract is made by and between the Buyer and the Seller. Whereby the Buyer agrees to buy and the Seller agrees to sell the under-mentioned commodity according to the terms and conditions stipulated below:

Based on the Share Exchange Agreement signed on Dec.28th.2009, the Parties have reached an supplemental agreement through friendly consultation as following:

Inspection Clause: The buyer shall inspect the goods according to specifications and qualification standards. The seller shall be responsible for any products which are inconsistent with qualification standards, Buyer has the right to reject such Products. In case the products being exposed to moisture or deteriorate in transit, the seller shall be responsible for quit and change products.
