SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of November 2, 2010, by and among China Shuangji Cement Ltd., a Delaware corporation, with headquarters located at 221 Linglong Road, Zhaoyuan City, Shandong Province, People’s Republic of China, 265400 (the “Company”), and the Wise Star Capital Investments Limited (the “Buyer”).
