This EMPLOYMENT AGREEMENT (this “Agreement”) is entered into as of November 1, 2011 (the “Effective Date”) by and between Bluesky Systems Holdings, Inc., a Nevada corporation (the “Company”), and Susan M. DiBiase Lutz (“Executive” and, collectively with the Company, the “Parties”), as follows:

Bluesky Systems Corp – EXCLUSIVE LICENSE AGREEMENT (October 11th, 2011)

This Agreement is made by and between Supera Group, LLC., a Nevada limited liability company (referred to as "Licensor"), having a principal place of business at 23741 Harbor Vista Drive, Malibu, California 90265, and Bluesky Systems Holdings, Inc., a Nevada corporation ("Licensee"), having a principal place of business at 1801 Century Park East, Suite 1500, Los Angeles, California 90067, is dated and effective as of October 4, 2011.

Bluesky Systems Corp – DEBT PURCHASE AGREEMENT (August 2nd, 2011)

This Debt Purchase Agreement (this “Debt Purchase Agreement”) is made and entered into effective as of July 27, 2011 by and among Galileo Partners, LLC, a California limited liability company (“Assignee”), Greentree Financial Group Inc., a Florida corporation (“Assignor”), and Bluesky Systems Holdings, Inc., a Nevada corporation (“Maker”).

Bluesky Systems Corp – SHARE PURCHASE AGREEMENT (August 2nd, 2011)

This Share Purchase Agreement (this “Agreement”) is dated as of July 27, 2011, by and among Bluesky Systems Holdings, Inc., a Nevada corporation (the “Company”), Mr. Duane Bennett, together with the Northeast Nominee Trust being the majority shareholders of the Company (the “Shareholders”), and Supera Solutions Corp, a Nevada corporation (the “Purchaser”). Each of the Company, the Shareholders and the Purchaser is referred to herein as a “Party” and collectively, as the “Parties.”

Bluesky Systems Corp – PROMISSORY NOTE (July 30th, 2010)

FOR VALUE RECEIVED, the undersigned, Bluesky Systems Corporation, a corporation organized under the laws of Pennsylvania (the "Borrower"), promise to pay to JPF Securities Law, LLC, a Nevada limited liability company (the "Lender"), the principal amount of SIX THOUSAND ($6,000) DOLLARS, together with interest at the rate of ten percent (10%) per annum until paid.  All principal and interest, together with any and all costs and expenses provided for under this Note, shall be due and payable in full within ONE YEAR from the date hereof (the "Maturity Date").

Bluesky Systems Corp – PLAN OF EXCHANGE (February 3rd, 2010)

This Plan of Exchange (the “Agreement” or “Plan of Exchange”) is made and dated as of this 12th day of January, 2010, and is intended to supersede all previous oral or written agreements, if any, between the parties, with respect to its subject matter. Notwithstanding the foregoing, it is subject to, and shall be interpreted together with the Escrow Agreement, dated January 12, 2010 ("Escrow Agreement"). This Agreement anticipates that extensive due diligence shall have been performed by both parties. All due diligence shall have been completed by the Parties no later than January 12, 2010.
