THIS WARRANT AND THE SECURITIES ISSUABLE UPON EXERCISE OF THIS WARRANT HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE "SECURITIES ACT"), AND MAY NOT BE SOLD, OFFERED FOR SALE, ASSIGNED, TRANSFERRED OR OTHERWISE DISPOSED OF, UNLESS REGISTERED PURSUANT TO THE PROVISIONS OF THE SECURITIES ACT OR AN OPINION OF COUNSEL IS OBTAINED STATING THAT SUCH DISPOSITION IS IN COMPLIANCE WITH AN AVAILABLE EXEMPTION FROM SUCH REGISTRATION AND THE OTHER RESTRICTIONS CONTAINED IN THIS WARRANT.

This STOCK PURCHASE AGREEMENT (the “Agreement”), is made as of this 31st day of January, 2010, by and among Nanotech Industries Inc., a corporation organized under the laws of the state of Delaware, (“Nanotech”), Joseph Kristul (“Kristul”), in his own capacity and on behalf of all of the holders of capital stock of Nanotech, (individually the “Seller” and collectively the “Sellers”), and EPOD Solar Inc., a Nevada publicly traded corporation (“EPOD” or the “Buyer”) (each party to this Agreement individually referred to as the “Party” and collectively referred to as the “Parties”).
