Your Indemnity. You shall indemnify, defend and/or settle, and hold the Company and its directors, officers, employees, and agents, harmless from and against any and all liabilities, losses, damages, costs and expenses (including reasonable attorneys’ and experts’ fees) incurred by the Company pursuant to any third party claim demand, action, suit, proceeding, damages, losses and/or liability arising from or related to (a) Customer’s breach of any of its obligations under this Agreement; and/or (ii) negligence, misrepresentation, error, omission or acts of the Customer.
