XXXXXXX FOUNDATION. 5. If a fee is to be charged for our services, it will be a set fee agreed upon with the applicant prior to signing this agreement. We also agree to abide by all other requirements as stated in the Terms of Grant Agreement and to provide the following documentation to the F. R. Xxxxxxx Foundation:
XXXXXXX FOUNDATION. On the Closing Date, all Restricted Funds held by Xxxxxxx Foundation shall be transferred to, held and utilized by Advocate Charitable Foundation in accordance with all Applicable Laws and subject to donor-imposed restrictions and conditions, as disclosed on Schedule 4.26. If such restrictions or conditions cannot be complied with or by Advocate Charitable Foundation, such restrictions or conditions may be redirected with the permission of the donor(s) or modified as permitted by Applicable Law to permit Advocate Charitable Foundation’s use of the Restricted Funds. In the event that Advocate Charitable Foundation cannot use such Restricted Funds as provided above, then consistent with Applicable Law, Advocate Charitable Foundation may return the Restricted Funds to donors or otherwise dispose of the Restricted Funds consistent with the terms of such gifts. Notwithstanding anything herein to the contrary, it is expressly understood and agreed among the Parties that all unrestricted cash and investments held by Xxxxxxx Foundation as of the Closing Date, as well as future bequests, gifts and donations raised for Xxxxxxx Hospital shall be designated for use by Xxxxxxx Hospital in the Xxxxxxx Service Area, consistent with any donor-imposed restrictions or conditions. In addition, effective as of the Closing Date, Xxxxxxx Foundation shall amend and restate its Articles of Incorporation and Bylaws in substantially the form set forth on Exhibits B-1 and B-2, respectively, attached hereto.

The EV Strategy Project will focus on coordinating and supporting a minimum of 3 municipalities to develop their Municipal EV Strategies that enable the acceleration of electric vehicle infrastructure and EV uptake at the corporate municipal level as well as intervention opportunities to influence and guide the uptake of EVs at the broader community level. The project will work with key stakeholders to guide and support EV adoption. It will build on these individual Municipal EV Strategies to develop a plan for a Regional EV strategy (with a focus on the Greater Toronto and Xxxxxxxx or the Greater Golden Horseshoe area). This EV Strategy will encourage cooperation between private fleet operators, municipalities, conservation authorities, provincial ministries and federal departments. Advancement of this project is key to scaling up EV adoption by addressing systemic barriers to the deployment of EVs. SCOPE OF WORK.

XXXXXXX FOUNDATION as a non-fiduciary to this Agreement, has a planned commitment of $450,000 in cash contributions towards the Project Cost. The Xxxxxxx Foundation will confirm this commitment through a vote taken in December of 2021. If such funding is not approved by the Xxxxxxx Foundation, the Xxxxxxx Foundation will not be involved in the Project and the length of the Project will be reduced from 18 months of service to 12 months of service.
