Xxxxxx Agreement. Xxxx Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreement, written or oral, with respect thereto.
Xxxxxx Agreement. This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions of the parties in connection therewith not referred to herein.
Xxxxxx Agreement. This Agreement, including all schedules and exhibits hereto, which schedules or exhibits are incorporated herein by reference and deemed to be a part of this Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof, and may not be modified, amended or terminated except by a written instrument specifically referring to this Agreement signed by all the parties hereto.
Xxxxxx Agreement. Xxxx Xxxeement conxxxxxxxx xxe entire agreement between the parties and supersedes and cancels any other agreement, representation or communication, whether oral or written, between the parties hereto relating to the transactions contemplated herein or the subject matter hereof.
Xxxxxx Agreement. The Escrow Agreement with the Escrow Agent and the Stockholder Representative in substantially the form attached hereto as Exhibit 2.3 has been approved by Modavox's Board of Directors, executed and received.

Xxxxxx Agreement. The Company has provided the Investor ---------------- with a full and complete (except for certain financial terms, which have been redacted) copy of the License Agreement, dated as of December 20, 1996 (the "Xxxxxx Agreement"), by and between the Company and the Xxxxxx Institute for Cancer Research, a Swiss not-for-profit corporation ("Xxxxxx") which agreement is attached hereto as Exhibit E. --------- The Xxxxxx Agreement constitutes the full and entire understanding between the Company and Xxxxxx with respect to the subject matter of the Xxxxxx Agreement. The Company is not in violation or default of any provision of the Xxxxxx Agreement. The execution, delivery and performance of and compliance with this Agreement and the Affiliated Agreements, and the issuance and sale of the Shares, will not result in any such violation, be in conflict with or constitute (with or without the passage of time or giving of notice) a default under any such provision, require any consent or waiver under any such provision or result in the creation of any mortgage, pledge, lien encumbrance or charge upon any of the properties or assets of the Company pursuant to any such provision. The Company shall use its best efforts to maintain the Xxxxxx Agreement in full force and effect through one hundred twenty (120) days after the end of the Research Term (as defined in the Option Agreement).

Xxxxxx Agreement. This Agreement and the Exhibits hereto supersedes all prior discussions and agreements between Purchaser and Seller with respect to the matters contained herein.
Xxxxxx Agreement. This Agreement constitutes the final written expression of all of the agreements between the parties (except those relating to Employee's service as a director of the Company), and is a complete and exclusive statement of those terms. It supersedes all understandings and negotiations concerning the matters specified herein. Any representations, promises, warranties or statements made by either party that differ in any way from the terms of this written Agreement shall be given no force or effect. The parties specifically represent, each to the other, that there are no additional or supplemental agreements between them related in any way to the matters herein contained unless specifically included or referred to herein. No addition to or modification of any provision of this Agreement shall be binding upon any party unless made in writing and signed by all parties.
