XXXXEAS. Employer is engaged in the telephone and telecommunication installation and service, and manufacture sale and installation of highway signs and traffic control products.
XXXXEAS. Fund wants to appoint Service Company as Transfer Agent and Dividend Disbursing Agent, and Service Company wants to accept such appointment;
XXXXEAS the Company desires to employ Executive pursuant to an agreement embodying the terms of such employment (this "Agreement") and Executive desires to enter into this Agreement and to accept such employment, subject to the terms and provisions of this Agreement; and
XXXXEAS. Fuisz has over a period of years conducted research and development work and developed proprietary technology which is useful to make controlled-release formulations for pharmaceutical compounds and;
XXXXEAS the Company proposes to sell certain equity securities to Quantum Energy Partners, LP, EnCap Equity 1996 Limited Partnership, Energy Capital Investment Company PLC, V&C Energy Limited Partnership, Arthur L. Smith, Paul B. David, Thomas A. Reiser and Jerry M. Crews (xxxxxxxxxxxx, thx "Xxxxsxxxx"), xxx xxx Xxxxxxxrs prxxxxx xx xxxxxase certain equity securities of the Company pursuant to the terms and conditions of that certain Preferred Stock Purchase Agreement (the "Purchase Agreement") to be entered into by and among the Company and the Investors (the "Proposed Transaction");
XXXXEAS. Consultant is skilled in providing legal services, and has provided legal services to Company in the past;
XXXXEAS the Company desires to have the full-time services of Executive as Chief Financial Officer, and Executive desires to be so employed, and
XXXXEAS the Company wishes to employ the Executive on the terms and conditions set out below and the Executive wishes to be so employed by the Company.
XXXXEAS. Executive is willing to accept such employment by Company on the terms set forth herein; and
XXXXEAS each of the Funds is registered as an investment company under the Investment Company Act of 1940, as amended (the "1940 Act"); and
