Written Resignations. All directors and officers of the Company shall have delivered to Buyer written resignations from their respective positions, effective as of the Closing.
Written Resignations. Keystone, PubCo and the Merger Subs shall have delivered or caused to be delivered copies of the written resignations of all the directors and officers of Keystone, PubCo and the Merger Subs (except for any director or officer who is designated pursuant to Section 2.5 if he or she is a director or officer of Keystone, PubCo or the Merger Subs, respectively, immediately prior to the Closing), effective as of the Closing.

XXXXXX agrees to submit written resignations, effective December 27, 2000, from all of his positions as a Member of the Board of Directors and as an Officer of the Company within five (5) business days of his execution of this Agreement.
