Written Agreement to Govern. This Agreement and the documents to be delivered hereunder set forth the entire understanding and supersede all prior and contemporaneous agreements and discussions among the Parties relating to the subject matter contained herein and therein, and no Party shall be bound by any definition, condition, representation, warranty, covenant or provision other than as expressly stated in or contemplated herein or therein or as subsequently shall be set forth in writing and executed by a duly authorized representative of the Party to be bound thereby.
Written Agreement to Govern. This Agreement, together with all Exhibits, Schedules and other documents to be delivered pursuant hereto, set forth the entire understanding and supersede all prior oral or written agreements among the parties hereto relating to the subject matter contained herein and all prior and contemporaneous discussions among the parties hereto are merged herein. No party hereto shall be bound by any definition, condition, representation, warranty, covenant or provision other than as expressly stated in this Agreement or the Exhibits and other documents to be delivered pursuant hereto, or as hereafter set forth in a written instrument executed by such party or by a duly authorized representative of such party.
Written Agreement to Govern. This Agreement, the Option Agreement, and the Employment Agreement set forth the entire understanding of the parties with respect to the subject matter hereof, supersede all prior discussions, negotiations, understandings or written agreements among the parties hereto relating to the subject matter contained herein, and merge all prior and contemporaneous discussions among the parties.

This Agreement, including the agreements contemplated to be executed and performed hereunder, sets forth the entire understanding between the Parties and supersedes all prior and contemporaneous oral and written agreements between the Parties relating to the subject matter contained herein or therein, and merges all prior and contemporaneous discussions between them. No Party shall be bound by any definition, condition, representation, warranty, covenant or provision other than as expressly stated in this Agreement or in the other documents referred to herein which form a part hereof.
Written Agreement to Govern. This Agreement sets forth the entire --------------------------- understanding and supersedes all prior and contemporaneous agreements and discussions among the Parties relating to the subject matter contained herein and therein, except for the $850,000 payment obligation of SKM arising pursuant to that certain Consulting Agreement dated September 30, 1998, between SKM and Liquid Audio and such agreements as are executed contemporaneously herewith by the Parties pursuant to the express provisions of this Agreement, and no Party shall be bound by any definition, condition, representation, warranty, covenant or provision other than as expressly stated in or contemplated herein or therein or as subsequently shall be set forth in writing and executed by a duly authorized representative of the Party to be bound thereby.
Written Agreement to Govern. This Agreement (together with the Schedules and Exhibits hereto, and the other instruments and documents delivered pursuant hereto) sets forth the entire understanding and supersedes all prior oral and written agreement among the parties relating to the subject matter contained herein, and merges all prior discussions among them.
Written Agreement to Govern. This Agreement (along with all documents and instruments to be delivered pursuant hereto, including all Exhibits and Schedules) sets forth the entire understanding, and supersedes all prior and contemporaneous discussions, negotiations, understandings and oral and written agreements, among the parties relating to the subject matter it contains and merges all prior and contemporaneous discussions among them. No party shall be bound by any definition, condition, representation, warranty, covenant or provision other than as expressly stated in this Agreement or in the other documents referred to in this Agreement which form a part of this Agreement. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and together shall constitute one and the same agreement.

This Agreement sets forth the entire understanding and supersedes prior agreements between the parties relating to the subject matter contained herein and merges all prior discussions between them, and neither party is bound by any definition, condition, representation, warranty, covenant, or provision other than as expressly stated in this Agreement or as subsequently set forth in writing and executed by a duly authorized officer of each party.
