Without Party. A’s prior written consent, Party B shall not assign its rights and obligations under this Agreement to any third party.
Without Party. A’s prior written consent, they shall not engage in any business in competition with Party A or its affiliates; and
Without Party. A’s prior written consent, not to vote for or sign any shareholders’ resolution at Party C’s shareholders’ meetings to approve Party C’s merger or consolidation with, acquisition of or investment in, any person;
Without Party. A’s prior written consent, conducting transaction between Entrusted Assets and its own assets or assets entrusted by it a third party;
Without Party. A’s prior written consent, lending the Entrusted Assets or any investment attributable to Party A or ownership documents or documents evidencing the rights to investments to any third party;
Without Party. A’s prior written consent, to not issue or provide any guarantee or permit the existence of any debt, other than (i) such debt that may arise from Party B’s normal or daily business (excepting a loan); and (ii) such debt which has been disclosed to Party A before this Agreement;
Without Party. A’s prior written consent, the Pledgors shall not assign any of their rights and/or obligations hereunder to any third party.
Without Party. A’s prior written consent, upon the execution of this Agreement, to not sell, transfer, mortgage, create pledges, liens, or any other encumbrances on or dispose, in any other form, any asset, legitimate or beneficial interest of business or income, or encumber or approve any encumbrance or imposition of any security interest on Party B’s assets;
Without Party. A’s prior written consent, to not provide loan or credit to any other party or organization;
Without Party. A’s written consent, Party B shall not re-categorize the accounting items of the Entrusted Assets.
