Without limiting Section 7. 3(a), without the prior written consent of SPAC, ▇▇▇▇▇▇.▇▇▇ shall not, other than in connection with the Transactions, directly or indirectly sell, transfer, license, pledge, encumber or dispose of any of the Cronos Assets.
