Without Consent of the Lender. Notwithstanding Section 9.02 of this Agreement, the Borrower, any Guarantor (with respect to a Guarantee, this Agreement, the other Loan Document, the Intercreditor Agreement or the Security Documents to which it is a party) and the Administrative Agent may amend or supplement this Agreement, or any Guarantee, Loan Document, Security Documents, the Intercreditor Agreement or the Junior Lien Intercreditor Agreement without the consent of the Lender: (1) to cure any ambiguity, omission, mistake, defect or inconsistency; (2) [reserved]; (3) to comply with Section 5.01 hereof; (4) [reserved]; (5) [reserved]; (6) [reserved]; (7) [reserved]; (8) [reserved]; (9) to add a Guarantor under this Agreement, the other Loan Documents, the Security Documents, the Intercreditor Agreement or the Junior Lien Intercreditor Agreement; (10) to conform the text of this Agreement, the other Loan Documents and the Security Documents to (a) the July 2030 Notes Indenture and the related security documents to the extent that such provision was intended to be substantively identical to the corresponding provision of the July 2030 Notes Indenture and the related security documents as set forth in an Officer’s Certificate and (b) to any provision of the “Description of Intercompany Loan” section of Sabre Financial Borrower, LLC’s Offering Memorandum dated November 20, 2025, relating to the offering of the Borrower Notes, to the extent that such provision in the “Description of Intercompany Loan” was intended to be a verbatim recitation of a provision of this Agreement, the other Loan Documents or the Security Documents as set forth in an Officer’s Certificate; (11) [reserved]; (12) to add or release Collateral from, or subordinate, the Lien of this Agreement, the other Loan Documents and the Security Documents when permitted or required by the Security Documents, this Agreement, the other Loan Documents, the Intercreditor Agreement or the Junior Lien Intercreditor Agreement; (13) to mortgage, pledge, hypothecate or grant any other Lien in favor of the Administrative Agent for the benefit of the Secured Parties, as additional security for the payment and performance of all or any portion of the Loan Obligations, on any property or assets, including any which are required to be mortgaged, pledged or hypothecated, or on which a Lien is required to be granted to, in favor of or for the benefit of the Administrative Agent or the Lender pursuant to this Agreement, the other Loan Documents, a...
