Wholesalers. None of [***] have provided written notification to Seller that any of them intends to terminate or materially reduce its business relationship with respect to the Product or the Business after the Execution Date or the Closing Date.
Wholesalers. (A) Should any wholesaler refuse to distribute the PUBLICATIONS, or any one of them, or should PUBLISHER be dissatisfied, for a reasonable business reason in the opinion of PUBLISHER, with any wholesaler and give CURTIS 30 days wxxxxxx notice thereof, PUBLISHER may, after the conclusion of such 30 day period, unless CURTIS shall havx xxxxinted a replacement in accordance with the provisions of Section 14B, appoint a wholesaler of its choice for the affected PUBLICATION(S) or, if it should be unable to reach satisfactory agreement with one willing to take only the affected PUBLICATION, for all of the PUBLICATIONS, and should CURTIS elect to xxxxxxe such newly appointed wholesaler, there shall be no change in the terms of this Agreement; if, however, CURTIS does not xxxxxxe such newly appointed wholesaler, then PUBLISHER shall have the right in such circumstances to distribute copies of PUBLICATIONS in that geographical area to whomever PUBLISHER shall wish, and in that event will be obliged to pay a distribution fee to CURTIS for only xxxx xistribution as is actually accomplished in said area by CURTIS.
Wholesalers. All alcoholic beverages to be sold on the Premises shall be purchased from duly licensed distributors and shall be purchased by Licensee on behalf of the Agent, but at the sole expense of Agent. Agent shall make no purchases for the Hotel except through Licensee. Without limiting any other term of this Agreement, Agent agrees to pay for all such alcoholic beverages. All such purchases shall be made in accordance with the Legal Requirements.
Wholesalers. The Parties acknowledge that a Wholesaler performs its activity independently from Distributor and Distributor shall not be responsible for Wholesaler’s performance. All sales and other agreements between Distributor and a Wholesaler are Distributor’s exclusive responsibility, provided, however, that Distributor shall select a Wholesaler with an experience of handling a cell therapy product.
Wholesalers. (1) Wholesalers Licensed by the State Wholesalers licensed by the State are subject to the requirements as set forth in Title 82 RCW and any rules adopted thereunder, and therefore must maintain adequate records detailing which cigarettes are subject to state tax and which cigarettes are subject to the Tribal cigarette tax.
Wholesalers. Parent reaffirms its commitment to the three-tier distribution system in the United States and agrees to work with the Company’s existing wholesaler panel to strengthen the relationship between the Surviving Corporation and its wholesalers.
Wholesalers. Pending the Closing, JBBCo. shall continue in its contracts with wholesalers in respect of the sale of the Beam Products. As of the Closing Date, ASCI shall have designated all of its wholesalers, and may have entered into contracts with certain of them, for the distribution of the V&S Products (anticipated generally to be the same as the wholesalers handling the V&S Products prior to the date hereof). In markets within the Territory in which ASCI and Beam do not share a common wholesaler, Beam and ASCI shall have jointly determined as of the Closing through good faith discussions whether to use (i) Beam's wholesaler, (ii) the wholesaler previously handling V&S Products or (iii) each its own wholesaler; PROVIDED, that in the event the Parties are unable to agree on a wholesaler(s) with respect to a particular market(s), each Party shall then determine which wholesaler(s) to use with respect to its own products.
Wholesalers. For Combination Product sold by the Selling Party to a wholesaler, the initial price at which the Selling Party sells the Combination Product to such wholesaler shall be [*], as determined pursuant to Section 7.4(a).
Wholesalers. Customers in this market include companies that are primarily engaged in selling merchandise to retailers, industrial, commercial, institutional or professional business users or to other wholesalers. Includes wholesale distributors of both durable and non-durable goods. Examples of eligible risks include Office Equipment Distributors and Footwear Distributors. SCHEDULE E Duties of Company and Seller Data and other information to be provided by Seller unless otherwise indicated will be provided to Company for Subject Policies 120 days prior to the first day of the expiration month of the policy beginning with February 2005. Such data will be provided by Seller to Company within 6 business days of the inception of this Agreement for November 2004 through January 2005.
