Common use of Whole Agreement Clause in Contracts

Whole Agreement. No other agreements, representations or understandings (whether oral or written and whether express or implied) which are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereof. This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

Whole Agreement. No other agreements, representations or understandings (whether oral or written and whether express or impliedwritten) which are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereofof this Agreement. This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

This Agreement and Agreement, the Proprietary Information Agreement, and Inventions Agreement applicable stock option agreements and stock plans, contain the entire understanding of the parties with respect to the subject matter hereof.

This Agreement, the Inventions Agreement and the Proprietary Information and Inventions Arbitration Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

No other agreementsagreements (including any employment agreement), representations or understandings (whether oral or written and whether express or implied) which are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereof. This Agreement and , except that the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereofshall remain in full force and effect.

The letter agreement dated December 17, 2008, between the Employee and the Company is hereby superseded.

This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof. The letter agreement dated September 17, 2007, between the Employee and the Company is hereby superseded.

This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

Whole Agreement. No other agreements, representations or understandings (whether oral or written and whether express or implied) which that are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereof. This Agreement and the Proprietary Information attached Exhibits 1.1 through 1.4 and Inventions Agreement Exhibit 2 contain the entire understanding of the parties with respect to the subject matter hereof.

Whole Agreement. No other agreements, representations or understandings (whether oral or written and whether express or impliedwritten) which are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereofof this Agreement. This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof, and supersede and replace all prior agreements and understandings concerning the subject matter of this Agreement and Executive's relationship with the Company.

Whole Agreement. No other agreements, representations or understandings (whether oral or written and whether express or impliedwritten) which are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereofof this Agreement. This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

Whole Agreement. This Agreement supersedes the Offer Letter. No other agreements, representations or understandings (whether oral or written and whether express or implied) which that are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereof. This Agreement and the Proprietary Information and Inventions Agreement contain the entire understanding of the parties with respect to the subject matter hereof.

No other agreements, representations or understandings (whether oral or written and whether express or implied) which that are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereof. This Agreement and the Twilio Inc. Proprietary Information Information, Inventions, Non-Competition and Inventions Agreement Non-Solicitation Agreement, including Mutual Arbitration Agreement, attached as Attachment A, and contain the entire understanding of the parties with respect to the subject matter hereof.
