WHERAS. The recipient wishes to access the Material and Know-How for the purpose of carrying out the Research Program as further described in Appendix B.
WHERAS a. SBC has been incorporated with the purpose to organize an accelerator program taking place in Amsterdam, branded as Startupbootcamp and described on xxx.xxxxxxxxxxxxxxx.xxx for internet/mobile tech companies (the "Program");
WHERAS. A. Malone has experience and expertise in the public finance xxxxxxxx xx well as in managing public companies and has many contacts in these sectors;
WHERAS. D) The Company has issued to Secured Party, a Deferred Compensation Agreement, dated the date hereof, in the principal amount of $151,727.27 (the “Agreement”); and
WHERAS. The general purpose of this Agreement is, in the mutual interest of the Company and employee, to provide for the operation of the warehouse, hereinafter mentioned, under methods which will further to the fullest extent possible the safety and physical welfare of the employees, economy of operation, quality and quantity of output, cleanliness of plant and protection of property. It is recognized by this agreement to be the duty of the Company and employees to co-operate fully, individually, and collectively, for the advancement of said conditions.
WHERAS. 1. The School wishes to provide, at its premises, the Catering Services (“the Services”) set out in this agreement.
WHERAS. Buyer is a government body and political subdivision of the State of Louisiana; and

Costa Crociere S.p.A as former shipowner of Costa Atlantica and Costa Mediterranea is promoting the embarkation onboard of the abovementioned ships of its Italian crewmembers. - For the above reason CSSC Carnival Cruise Shipping Limited (中船嘉年華郵輪有限公司) will offer to Italian crewmember accepting to embark onboard Costa Atlantica and Costa Mediterranea under Bahamas Flag terms and conditions similar, as far as possible, to those applicable as per National Collective Bargaining Agreement signed on December 16, 2020.
WHERAS. Seller desires to sell to Buyer and Buyer desires to purchase from Seller, the assets, properties and rights of ISS designated herein (the “Conveyance”), subject to certain liabilities incident thereto, which Buyer is willing to assume, and Seller is willing to assign to Buyer, all on the terms and conditions set forth in this Agreement; and WHERAS, The Parties desire to memorialize their agreement in this writing, NOW, THEREFORE,
WHERAS. 1. JPE US is the beneficial owner of all of the issued and outstanding shares of JPE Canada Inc. ("JPE Canada").
