Common use of Warranty of Authority Clause in Contracts

Warranty of Authority. Each of the signatories hereto warrants and represents that he or she is competent and authorized to enter into this Agreement on behalf of the Party for whom he or she purports to sign the Agreement. Each person signing this Agreement also represents and warrants that no other person’s signature is needed in order (i) for this Agreement to be binding on such Party; or (ii) to release the claims, demands, actions and causes of action that such Party is purporting to release.

Warranty of Authority. Each of the signatories hereto warrants and represents that he or she is competent and authorized to enter into this Agreement on behalf of the Party party for whom he or she purports to sign the Agreement. Each person signing this Agreement also represents and warrants that no other person’s signature is needed in order (i) for this Agreement to be binding on such Party; or (ii) to release the claims, demands, actions and causes of action that such Party is purporting to releaseit.

Each of the signatories hereto hereby warrants and represents that (a) he or she is competent and authorized has the authority to enter into execute this Agreement on behalf of the Party Party(ies) for whom he is signing; and (b) each Party has not assigned or she purports to sign otherwise transferred the Agreement. Each person signing this Agreement also represents claims being released herein and warrants that no other person’s signature is needed in order (i) for this Agreement to be binding on such Party; or (ii) to release the claims, demands, actions and causes of action that each such Party is purporting the owner thereof and has full authority to releasesettle and release those claims.

Warranty of Authority. Each person signing this Agreement also represents Party hereto agrees to defend, indemnify, and warrants that no hold harmless the other person’s signature is needed in order (i) for this Agreement to be binding on such Party; or (ii) to release the Parties hereto against all claims, demandssuits, actions and causes demands, including necessary expenses of action investigation and reasonable attorneys’ fees and costs, arising out of claims that such Party is purporting its signatory was not competent or so authorized to releaseexecute this Agreement.
