The term Warrant Registrar includes any co-registrars. The Company shall initially serve as Warrant Registrar in connection with the Warrants. The Company shall enter into an appropriate agency agreement with any Warrant Registrar not a party to this Agreement. The agreement shall implement the provisions of this Agreement that relate to such agent. The Company shall notify the Warrantholders of the name and address of any such agent. If the Company fails to maintain a Warrant Registrar, the Company shall act as such. The Company may remove any Warrant Registrar upon written notice to such Warrant Registrar and to the Warrantholders; provided, however, that no such removal shall become effective until (1) acceptance of an appointment by a successor as evidenced by an appropriate agreement entered into by the Company and such successor Warrant Registrar and delivered to the Warrantholders or (2) notification to the Warrantholders that the Company shall serve as Warrant Registrar until the appointment of a successor in accordance with clause (1) above. The Warrant Registrar may resign at any time upon written notice. The Company and the Warrant Registrar may deem and treat the Person in whose name a Warrant Certificate is registered as the absolute owner of such Warrant Certificate for all purposes whatsoever and neither the Company and the Warrant Registrar shall be affected by notice to the contrary.

The term Warrant Registrar includes any co-registrars. The Corporation shall initially appoint the Warrant Agent as (i) Warrant Registrar in connection with the Warrants and (ii) the Warrant Custodian with respect to the Global Warrants.

Warrant Registrar. The Company may appoint one or more Registrars in respect of the Warrants, in which case each reference in this Agreement to the Warrant Agent in respect of the obligations of the Warrant Agent to be performed by the Registrar will be deemed to be references to the Registrar. Although the Company may act as Registrar, the Company initially appoints the Warrant Agent as Registrar.
